Terms and Conditions for Vendors on Industrial Shopping Hub
Effective Date: 1st September 2024
These Terms and Conditions (“Agreement”) govern the relationship between Industrial Shopping Hub (“ISH”, “we”, “us”) and the vendor (“Vendor”, “you”) approved to list and sell products on our platform. By registering as a Vendor, you agree to these terms.
1. Vendor Application and Account Setup
- Vendor applications are subject to ISH review and approval. We reserve the right to accept or reject any application.
- Upon approval, Vendors must provide accurate information including:
- Store banner (625x300px)
- Banking details (name, number, type, bank, branch code)
- Optional: branding/logo/profile image
- Vendors must keep their information up to date.
- You’re responsible for your login credentials.
- ISH may suspend or terminate accounts for fraud, breach, or misrepresentation.
- Vendor data is protected under POPIA (Protection of Personal Information Act).
2. Product Listings and Information
- You are responsible for the accuracy and legality of your listings: names, images, descriptions, pricing, etc.
- All products must comply with South African laws and safety standards.
- No counterfeit or illegal products are allowed. We reserve the right to remove any non-compliant listings.
- Prices must include VAT. Vendors are responsible for VAT registration and SARS compliance.
3. Courier and Delivery
- ISH-Managed Courier: ISH arranges delivery; courier fees are quoted for separately.
- ISH is not liable for delivery issues.
4. Payments and Funds Management
- Payments are processed via PayFast or other approved gateways.
- ISH holds funds in escrow until delivery is confirmed.
- Payouts are made after confirmation, minus platform commission and service fees.
- ISH is not a bank and serves only as a facilitator of payments.
- We are not liable for failed or reversed transactions.
- Vendors must cooperate in any disputes and provide documentation if needed.
- Card Details Storage: All card transactions on the platform are processed via PCI DSS-compliant gateways. Vendors are prohibited from collecting or storing cardholder information. ISH manages all card payments and does not store card details on its own servers.
5. Intellectual Property
- Vendors retain ownership of their product intellectual property.
- Vendors grant ISH a royalty-free license to use product content for marketing and promotional purposes.
6. Indemnification
You indemnify ISH against any claims or damages resulting from:
- Breach of this agreement
- Illegal or defective products
- Intellectual property violations
- Customer complaints related to your conduct or products
7. Limitation of Liability
- ISH is not liable for indirect or consequential damages (e.g., loss of income).
- Our liability is limited to the total commission earned from your store in the last 12 months.
- Vendors are fully responsible for product quality and customer claims.
8. Governing Law and Dispute Resolution
- This Agreement is governed by South African law.
- Disputes will be resolved through binding arbitration via the Arbitration Foundation of Southern Africa (AFSA) in Johannesburg.
9. POPIA Compliance
- You agree to process customer data lawfully under POPIA.
- Store customer data securely, avoid unsolicited marketing, and respond to data access or deletion requests.
10. Amendments
- ISH may amend these terms at any time.
- Material changes will be communicated via email at least 30 days before taking effect.
- Your continued use of the platform constitutes agreement to the updated terms.
11. Severability
If any part of this agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
